Company Annual Filings

Every Company registered in India like Pvt. Ltd. Company, One Person Company (OPC), Limited company and section 8 company must file necessary documents with Ministry of Corporate Affairs (MCA) such as Financial Statements, Annual Return.

Financial Statements includes the Balance Sheet of the Company, Profit & Loss Account, Cash Flow Statement, and Notes to Accounts etc. These Financial Statements are filed in Form AOC-4(XBRL).

Annual return consists of information and documents that include the Compliance Certificate, Registered Office Address, Register of Member, Shares and Debentures details, Debt details and information about the Management of the Company. The annual return would also disclose the shareholding structure of the Company, changes in Directorship and details of transfers of securities.

Companies must conduct an Annual General Meeting (AGM) at the end of each financial year and file an annual return with the MCA to maintain compliance.

For newly registered Companies, the AGM should be held within 18 months from date of registration or 9 months from the date of closing of financial year, whichever is earlier. In any other case, within a period of 6 months, from the date of closing of the financial year: Annual return is to be filed in Form MGT-7
