The registered office (R.O.) of a Company is the principle place of business for a private / public limited company and all official correspondence from the Ministry of Corporate Affairs is sent to this location.
A change to the registered office can be required due to various reasons.
The following are the compliances required in case of change in Registered Office of Company:
Where change of R.O. is within the local limits of any city, town or village.
- Pass board resolution
- Give a notice to the concerned Registrar within 15 days after the date of the change.
Where change of R.O. is from one village, town, etc., to another (in the same R.O.C.)
- Pass Special resolution
- Give a notice to the concerned Registrar within 15 days after the date of the change.
Where change of R.O. is from one State to another State
- Pass special resolution.
- seeking approval of the Central Government (Regional Director).
- Give an advertisement in the newspapers indicating the change proposed to be made.
- Give a Notice to the State Government when it is proposed to transfer the registered office from one State to another.
- Give a notice to the concerned Registrar within 15 days after the date of the change.
- Alteration in the M.O.A. & A.O.A. of the company.
